Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") form a binding agreement between you and Seller Africa Inc. ("Seller Africa," "FreshRoots," "we," "us," or "our"), governing your access to and use of the FreshRoots directory, website, and related services (collectively, the "Platform"). By creating an account, submitting a farm application, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

The Platform is operated by Seller Africa Inc., headquartered in Miami, Florida.

2. Definitions

• "Farmer" means any individual or entity that submits a farm listing to the Platform.
• "Buyer" or "Member" means any individual who registers a paid membership to access the Platform's directory.
• "Listing" means the profile, description, and product information a Farmer submits for display on the Platform.
• "Order" means any transaction a Buyer places directly with a Farmer through information or contact facilitated by the Platform.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. Farmers must operate a working farm located in the United States, be able to fulfill orders through shipping, delivery, or pickup, and handle their own order fulfillment. Seller Africa reserves the right to verify any information submitted and to decline or remove a Listing at its discretion.

4. Farmer Terms

4.1 Free Listing

There is no fee to submit a farm application or to maintain an active Listing on the Platform. Seller Africa does not charge Farmers for the act of listing.

4.2 Verification

Seller Africa reviews and verifies farm details before a Listing goes live, and may request additional documentation, including proof of farm operation, applicable licenses, permits, or certifications relevant to the products offered.

4.3 Farmer Responsibilities

• Accurately describe your farm, products, growing or raising practices, and any certifications.
• Comply with all applicable federal, state, and local laws and regulations governing the production, labeling, handling, and sale of your products, including food safety requirements.
• Fulfill Orders placed with you directly, including packing, shipping or delivery, and customer communication.
• Maintain any licenses, registrations, permits, or insurance required to sell your products.
• Respond to buyer inquiries and resolve order issues in good faith.

4.4 Direct Relationship with Buyers

Seller Africa is not a party to any transaction between a Farmer and a Buyer. Farmers are solely responsible for the quality, safety, legality, and fulfillment of the products they sell.

5. Buyer / Member Terms

5.1 Membership

Access to the FreshRoots directory, search, and direct ordering requires an active paid membership. Current membership pricing is displayed at the time of signup.

5.2 What Membership Provides

Membership grants access to the directory and the ability to contact and order from listed Farmers. Membership does not guarantee the availability, quality, or fitness of any particular product or Farmer, and does not constitute a purchase of any product.

5.3 Orders

All Orders are placed and fulfilled directly between the Buyer and the Farmer. Seller Africa does not take custody of, inspect, or guarantee any product sold through the Platform.

5.4 Cancellation

Members may cancel their membership at any time through their account settings. Cancellation takes effect at the end of the current billing period, and no partial-period refunds are provided unless required by law.

6. Payments and Billing

Membership fees are billed on a recurring monthly basis to the payment method on file until cancelled. You authorize Seller Africa and its payment processor to charge your payment method for all applicable fees. You are responsible for keeping your payment information current and for any taxes applicable to your membership or transactions.

7. Role of Seller Africa

Seller Africa operates the Platform as a connector between Farmers and Buyers. Seller Africa does not grow, raise, process, package, ship, or take physical custody of any product listed or sold through the Platform, and is not a party to the sale between Farmer and Buyer.

8. Prohibited Conduct

• Submitting false, misleading, or fraudulent information in a Listing or application.
• Using the Platform to circumvent membership access or resell access to the directory.
• Harassing, defrauding, or misrepresenting yourself to another user.
• Uploading content that infringes another party's intellectual property or violates applicable law.
• Attempting to interfere with the security or normal operation of the Platform.

9. Intellectual Property

The Platform, including its design, branding, and content created by Seller Africa, is owned by Seller Africa Inc. and protected by applicable intellectual property laws. Farmers retain ownership of the content, images, and descriptions they submit, and grant Seller Africa a non-exclusive, royalty-free license to display that content on the Platform for the purpose of operating the directory.

10. Disclaimers and Limitation of Liability

The Platform is provided "as is" without warranties of any kind, express or implied. Seller Africa does not guarantee the accuracy of any Listing, the quality or safety of any product sold, or that any transaction between a Farmer and Buyer will be completed successfully.

To the fullest extent permitted by law, Seller Africa's total liability arising out of or relating to the Platform will not exceed the amount you paid to Seller Africa, if any, in the twelve months preceding the claim. Seller Africa is not liable for indirect, incidental, or consequential damages, including damages arising from products purchased from a Farmer.

11. Indemnification

You agree to indemnify and hold harmless Seller Africa, its officers, employees, and affiliates from any claim, loss, or damage, including reasonable attorneys' fees, arising from your use of the Platform, your Listing or products, or your violation of these Terms.

12. Termination

Seller Africa may suspend or terminate a Farmer's Listing or a Buyer's membership at any time for violation of these Terms, provision of false information, or conduct that harms the Platform or its users.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising out of these Terms or use of the Platform will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

Seller Africa may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
